Future Effective Dates

As you may already know, the last filing date of the year is December 30, 2011. Do you have a need for your filing to be effective December 31, 2011, or even January 1, 2012 or later? Here is a helpful tip that can help you accomplish your goal even though our office and the Division of Corporations will be closed those dates.

Delaware law provides for a future effective date of a document which allows you to file many certificates up to ninety (90) days before the day that you want the document to be effective. The effective date must be set forth in the document.

To instruct Delaware Intercorp, Inc. to use an effective date for your certificate of incorporation/formation, you can use the “notes” section of the online order form to indicate your specific needs, for example, effective on January 1, 2012.

Remember, we would need to receive your order before the desired date. For December 31, 2011 through January 2, 2012, desired dates, this means we would have to receive the order well in advance of the close of business on December 30th to give us enough time to process your order.

The future effective option is not only available during the holidays, but the entire year.
