New Delaware Division of Corporations Requirements for Corporate Filings Converting, Ending or Renewing Existence

The only thing constant is change...

As of January 1, 2008 new requirements took effect that may impact your corporate filings with the Delaware Division of Corporations. Specifically;

  • All corporations ending their corporate existence (via merger, dissolution, etc.) must file all applicable annual reports prior to or at the time of submission of the filing which is ending their existence.


  • Any corporation that converts to another entity must file all applicable annual reports prior to filing or at the time of submission of the conversion filing (whether or not it remains a Delaware entity).


  • Any corporation that is renewing its existence must file all applicable annual reports prior to filing or at the time of submission of the renewal filing.


  • Religious/charitable and non-stock corporations are also affected and must file all necessary reports as well.

    This also applies to documents filed prior to January 1, 2008 that list a January 1, 2008 or later effective date.
