History of Delaware Court of Chancery

We often get asked "Why incorporate in Delaware?" One of the many reasons is the Delaware Court of Chancery, which has been named one of the top court systems in the country for several years. If you are interested in learning about the Court of Chancery, read "A Short History of the Delaware Court of Chancery--1792-1992" written by William T. Quillen and Michael Hanrahan from The Widener University School of Law. It's rather lengthy, but an interesting read for anyone interested in corporate law.

Tax Breaks for the Cyber Secure?

It looks like the Congress may allow tax breaks as incentives for companies to improve their cyber security. According to News.com, the head of the U.S. House of Representatives Cybersecurity Subcommittee, Dan Lungren, wants to create incentives in the tax code without stifling innovation. That is a tall order.

Will this just be another tax break to apply for if your company is already cyber-secure?

Kelo activity at the federal level

before the U.S. Senate Committee on the Judiciary


The protection of homes, small businesses, and other private property rights against government seizure and other unreasonable government interference is a fundamental principle and core commitment of our nation’s Founders. In the aftermath of Kelo, we must take all necessary action to restore and strengthen the protections of the Fifth Amendment. I ask my colleagues to lend their support to this effort, by supporting the Protection of Homes, Small Businesses, and Private Property Act of 2005.

Senator Cornyn currently chairs the Judiciary Committee’s subcommittee on Immigration, Border Security and Citizenship, and in the last Congress he was chairman of the Constitution, Civil Rights and Property Rights subcommittee. He is the only former judge on the Judiciary Committee, and served previously as Texas Supreme Court Justice, Texas Attorney General, and Bexar County District Judge.
