Why should you incorporate in Delaware?

One of the top questions we answer for our potential customers is “Why should I incorporate in Delaware? Well, courtesy of the Department of State Division of Corporations, there is an online booklet by Lewis S. Black, Jr. that explains Why Corporations Choose Delaware.

Another resource for this pressing question is your friendly, neighborhood registered agent, Delaware Intercorp, Inc.

According to the Department of State web site more than 800,000 business entities have their legal home in Delaware including more than 50% of all U.S. publicly-traded companies and 60% of the Fortune 500. I believe we are doing something right.

Choosing A Business Structure

Ok, so you already have a business plan, now what?

One of the first things that entrepreneurs and business persons decide is how they will organize their business. Many factors must be considered when choosing the best form of business ownership or structure. The choice that are made can have an impact on multiple aspects of your business, including taxes, liability, ownership succession, and others.

Delaware Intercorp, Inc. can help you with incorporating or organizing your entity, and we can give you information to help you make that decision, but we can't tell you what is right for your specific situation.

So, if you are unsure what entity is right for you, what do you do?

There are many resources out there to help you in this regard. If you feel that you need expert legal or tax advice, attorneys and accountants can be an invaluable part of the decision process. There are also free resources available to the aspiring business owner. For example, the SBA provides a wealth of information online including some of the basic pros and cons of different types of ownership, such as sole proprietorships, partnerships, corporations, and limited liability companies.
