The Delaware Secretary of State Has New Seal!

So what does that mean for you and your Delaware LLC or Delaware Corporation?

The Seal of the Delaware Secretary of State appears on several certificates issued by the Delaware Division of Corporations. For example, a certified copy, certificate of good standing or status, and apostilles. The next time you obtain one of these documents, that seal will look a little different than what you may have seen on previous documentation.

The new seals and certificate paper will become effective on January 15, 2011.


Will you need to replace any of your corporate documentation?

Not necessarily. Any certificates issued by the Division of Corporations leading up to Jan. 15th will display the old seal and are still valid, official documents; however, anything that is produced as of the effective date will bear the image of the new seal. You should keep in mind that individual circumstances can vary, and depending on the type of certificate in question, it may very well be time to update it! For example, a certificate of good standing may only be recognized/accepted by another party for a specific amount of time from the date of issue.
