Small Business Reading Room

Thursday, October 15, 2009

Incorporating a small business can be beneficial in several ways:

1. Using a legal form such as a corporation or LLC provides protection for your assets by separating your business assets from your personal assets.

2. A corporation or LLC can provide a vehicle for tax deductions.

3. Having a marketable product or service can provide supplemental or primary income.

Do some research:

1. Do independent research or seek the opinion of a professional advisor. Your small business should be a benefit to you, not a hindrance. If you don't know which professional services to use, you may be able to rely on professional relationships, which already exist, to provide you with referrals.

2. Make sure you are aware of the annual expenses which are required to maintain your entity in good standing, both in the state in which you are doing business and the state in which your entity is registered. Don't allow your profits to be eaten up by late fees and penalties.

3. Maintain your business documents in good order, i.e. minutes, operating agreements and stock ledgers. Add reminders to your calendar of annual tasks and payment due dates. By staying on top of your business needs, you can avoid unnecessary fees and remedial record keeping.
