My Delaware Corporation is Void- Now What?

It happens to the best of us. One thing leads to another and before you know it, that annual report and franchise tax notice you received back in January surfaces from underneath a pile on your desk. The filing deadline was March 1st, and you’ve missed it.

You’ve attempted to rectify the situation immediately and make your filing online, only to receive this error message: * W0006Inactive Corp

No doubt, you are not pleased to find out that this error message means that your Corporation has been declared void/forfeit by the Division of Corporations.

What!?

Why did this happen?

The DGCL has changed and 3-1-2009 is the first year a corporation is voided for not filing the annual report.

How do you renew your Corporation?

Corporations that are voided 3-1-2009 or later will be required to pay all tax, penalties and interest plus file ALL Annual Reports which were due at the time they were declared void.

Please Note: If the corporation has filed the required annual reports and was voided for non-payment of taxes, they are not required to file the annual reports again.
