Fundamentals of Entity Selection and Key Issues Impacting Entity Selection in Delaware

Last week, I attended a National Business Institute (NBI) continuing education seminar on choice of entity selection in Delaware.

It was a great opportunity to learn new ways to present and communicate some of the basics in our industry. Several topics were covered including two that may be of particular interest to anyone interested in incorporating or forming an alternative entity in the State of Delaware.

They are the Fundamentals of Entity Selection and Key Issues Impacting Entity Selection.

Over the my next several posts, I will share with you some of the basic information that we discussed that I think you may find useful when trying to determine what kind of entity is right for you.

This information is not meant to be a substitute for legal or accounting advice (both of which can be an important part of determining entity selection), rather it is meant to give you some of the basics relating to comparison of entity options- the advantages and the disadvantages of the following:
  • Limited Liability Companies (LLC)

  • Limited Liability Partnerships (LLP)

  • Limited Partnerships (LP)

  • C Corporations

  • S Corporations
