General Partner Information Requirement for Delaware Limited Partnerships



As your Delaware registered agent, we want to make sure you know about Delaware’s requirement for amending General Partner information for your Delaware Limited Partnership(s): http://delcode.delaware.gov/title6/c017/index.shtml#P-1_0

Why is this important?  The State of Delaware will suspend or reject a filing that is not signed by General Partner of record, and it is not uncommon for that information to be out of date.  This means your amendment, cancellation, or other corporate action could be delayed.

It is that time of year again! The deadline to pay your Delaware LP/LLC/GP annual franchise tax is June 1st.

Certificate of Good Standing



Sometimes called a Certificate of Existence or Certificate of Authorization, a Certificate of Good Standing is a statement, on paper, from the Delaware Secretary of State, that a company legally exists as a Delaware Corporation or Limited Liability Company, and is in good standing with the State of Delaware. This document may be required by another state or country when you register with them as a foreign company planning on doing business in their jurisdiction. A bank may also request a Certificate of Good Standing when you open a business account.

This certificate can be ordered as a stand-alone product, or as an optional item when forming a new entity with us.

Delaware Intercorp has a direct line to the Delaware Secretary of State’s computer and can offer same day service without any rush fees in most cases as long as your entity is in good standing status, and PDF delivery.  This is a tremendous cost and time saver to faxing or mailing your request to the State with expedited service and waiting for return physical delivery.

Need to Pay an Invoice?



Follow these steps to quickly and easily pay your invoice by credit card online at www.delawareintercorp.com:


  1. Log In to your account.
  2. Select the link that says “PayRegistered Agent Fee” on the top left or “Client Invoice Secured Payment” in the middle of the page. Tip: Both links will take you to the same “Miscellaneous Invoice Payment” page.
  3. Fill out the form.  It does not pre-populate.
  4. Click “Add to Cart” button
  5. Click “Checkout Now” button
  6. Click “Continue with Free Shipping”
  7. Select and enter your form of payment
  8. Click "Continue checkout" button
  9. Click "Place order" button

Important: You will not be able to view open invoices on the website.  Invoices are sent by mail.  The website is a tool to submit payment.

If you choose not to pay by credit card, you can also pay by check or money order drawn on US funds, or bank wire transfer ($20).
